Ok, I know how it feels to be on the receiving end of this. Yes, she would be freaked and I would suggest not asking her out too soon. Also, stop your friends doing anything stupid like asking her out for you, at any time this is irritating, stupid and puts the girl on the spot, but more so after this.
Strike up a conversation with her one day about something light and casual, like music, hobbies, anything really. Get her msn or add her on facebook or whatever if you haven't already. Talk to her, hang out with her sometimes and just be natural and casual. When you're better friends; ask her out. I would say, don't bother with all the fancy pick up lines. Give her time to make up her mind, don't pester her about it too much.
