I finally decided to upgrade my aging p4, here's what im currently looking at:

Thats it for now though i am probably gonna downgrade on the processor just because i don't really want to spend that much.

Link to the product page, not something only accessible with your account. Anyways, if you want the best performance go for the C2D e8400, it's hands down the best unless you do some serious video encoding, then you want a quad core.

I would maybe spend a little more on the motherboard if you can. This is my spec:
Intel Core2duo E8400 3.00Ghz
2GB Corsair RAM
2x 80GB Maxtor SATA Hard Drives
1x Acer DVD-RW LightScribe SATA
MSI P5 Platinum Motherboard
Coolermaster Black Aluminium Case
Corsair 450w Power Supply

If you don't plan on overclocking Intel makes good boards. That processor cooler is overkill. The e8400 only actually uses 30 watts because of the process shrink. I've got this (http://www.newegg.com/Product/Product.aspx?Item=N82E16835186009&Tpk=alpine%2b7) and it's absolutely silent, never has to go above about 300RPM, and it's cheaper. Good choice of case fan; I have one and it really pushes a lot of air. You will be using the fan controller, though; it makes a bit of noise. I've got a few loud fans so I have a Vantec controller.

Im planning on overclocking, which is why i am getting the heatsink that i am. Still need to make sure i can afford all of this though otherwise i may downgrade to that one.

Not sure the heatsink is even a downgrade, really. You might be voltage limited. The Alpine 7 dissipates up to 90 watts. http://www.anandtech.com/casecoolingpsus/showdoc.aspx?i=3210&p=8
