A couple things...
Contrast: The original picture is highly contrasted and shows a wide range of values. Not so in your picture. Tools are partly to blame here: you obviously used a single HB (average) pencil that couldn't go far enough in the dark tones. In such cases, consider using cross-hatching, smudging, dot-filling or other similar techniques to render different textures. Some smoother (2B-4B) pencils would also be an inexpensive addition to your toolbox that would be of great help.
Structure: You haven't drawn the character skeleton before fleshing it out and it shows. For example, the shape of her skull is not rounded as it should, but instead makes a sharp angle, making the top box-like:http://img266.imageshack.us/img266/4129/phoenixcompare.jpg (http://imageshack.us/photo/my-images/266/phoenixcompare.jpg/)
Similar errors can be spotted on the extended hand or on the shape of her boobs. Never draw anything without having established its structure first if you aim for accuracy - there is no shortcut around it.
Overall, the drawing isn't far from the model - but I think it lacked a critical eye during the process: you were so focused on reproducing all the details that you forgot the essentials. You really, really should try to redraw Dark Phoenix, this time as an original work not tightly bound to a model - you will, I think, get better results.
